Terms of Service

1. Acceptance of Terms
   By accessing or using the HereSay LIVE web application (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
2. Description of Service
   HereSay LIVE is a browser-based peer-to-peer voice-chat platform. We provide real-time audio connections between consenting users.
3. Eligibility
   You must be at least 18 years old and comply with all local laws. You may not impersonate others or violate third-party rights.
4. License & Access
   We grant you a limited, non-exclusive, non-transferable right to use the Service for personal, non-commercial use subject to these Terms.
5. User Conduct & Prohibited Activities
   • You will not harass, threaten, defame, or record other users without consent.
   • You may not use the Service for illegal activities, spam, distribution of malware, or IP infringement.
   • You will not display or transmit personal contact, banking, or peer-to-peer payment information — your own or anyone else's — through voice calls, Secrets, Premium profile fields, or any other channel on the Service.
   • You will not share another person's private content or identifying information without their consent.
   • You will not attempt to reverse-engineer or disrupt the Service.
6. Public Calls & Personal Information
   Free calls on HereSay LIVE are public broadcasts. Anyone using the Service may listen in real-time via the “Live” tab. Anything you say during a free call may be heard by other users. Do not share personal information (such as full name, home address, phone number, financial details, account credentials, or other sensitive data) on a free call.
   
   If you choose to reveal any personal information about yourself or any other person to other users — whether by voice, by Secret, or by any other means — you do so at your own risk. HereSay LIVE is not responsible for the conduct, identity, intentions, legitimacy, or veracity of other users, and we do not pre-screen, monitor, or guarantee the safety of any user-to-user communication. You are solely responsible for your interactions with other users.
   
   Premium users may opt into private calls, which are not broadcast on the Live tab; private calls remain peer-to-peer audio between the two participants and are not recorded or stored by us. Even on private calls, the “at your own risk” principle above continues to apply.
7. Intellectual Property
   All code, design, trademarks, and content provided by HereSay LIVE remain our sole property. You retain ownership of any original content you supply, subject to our right to display and transmit it during your session.
8. Termination
   We may suspend or terminate your access for any violation of these Terms or without cause. Upon termination, your right to use the Service ends immediately.
9. Disclaimer of Warranties
   The Service is provided “as-is” and “as-available.” We expressly disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, secure, or error-free operation.
10. Limitation of Liability
    To the maximum extent permitted by law, in no event will HereSay LIVE or its affiliates, officers, or employees be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service.
11. Indemnification
    You agree to defend and indemnify HereSay LIVE from all claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of the Service or your breach of these Terms.
12. Governing Law & Dispute Resolution
    These Terms are governed by the laws of the United States. Any dispute will be resolved exclusively in the state or federal courts located in the United States.
13. Changes to Terms
    We may modify these Terms at any time. Continued use after posting constitutes acceptance. We will post the “Effective Date” at the top.
