1. Acceptance of Terms
   By accessing or using the HereSay LIVE web application (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
2. Description of Service
   HereSay LIVE is a browser-based peer-to-peer voice-chat platform. We provide real-time audio connections between consenting users.
3. Eligibility & Registration
   You must be at least 13 years old and comply with all local laws. You choose a display name (“Username”) and may not impersonate others or violate third-party rights.
4. License & Access
   We grant you a limited, non-exclusive, non-transferable right to use the Service for personal, non-commercial use subject to these Terms.
5. User Conduct & Prohibited Activities
   • You will not harass, threaten, defame, or record other users without consent.
   • You may not use the Service for illegal activities, spam, distribution of malware, or IP infringement.
   • You agree to respect privacy: do not share private call content or personally identifying information without consent.
   • You will not attempt to reverse-engineer or disrupt the Service.
6. Intellectual Property
   All code, design, trademarks, and content provided by HereSay LIVE remain our sole property. You retain ownership of your Username and any content you supply, subject to our right to display and transmit it during your session.
7. Termination
   We may suspend or terminate your access for any violation of these Terms or without cause. Upon termination, your right to use the Service ends immediately.
8. Disclaimer of Warranties
   The Service is provided “as-is” and “as-available.” We expressly disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, secure, or error-free operation.
9. Limitation of Liability
   To the maximum extent permitted by law, in no event will HereSay LIVE or its affiliates, officers, or employees be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service.
10. Indemnification
    You agree to defend and indemnify HereSay LIVE from all claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of the Service or your breach of these Terms.
11. Governing Law & Dispute Resolution
    These Terms are governed by the laws of the United States. Any dispute will be resolved exclusively in the state or federal courts located in the United States.
12. Changes to Terms
    We may modify these Terms at any time. Continued use after posting constitutes acceptance. We will post the “Effective Date” at the top.
